These Terms of Service ("Terms") form a legally binding agreement between TENSORMATRIX PTE. LTD. (UEN 202410081N), a Singapore private company limited by shares, with its registered office at 7 Holland Village Way, #05-03/05, One Holland Village, Singapore 275748 ("Company," "we," "us," or "our"), and the person or entity accessing or using MyShell Art ("you" or "your").

MyShell Art provides AI-powered image generation, image editing, image enhancement, and related creative tools through create.myshell.ai and related interfaces (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility and Acceptance

By using the Service, you represent and warrant that:

1.you have the legal capacity to enter into these Terms;

2.if you are under the age of majority in your jurisdiction, you are using the Service with the consent and supervision of a parent or legal guardian;

3.you are at least 18 years old if you purchase or attempt to purchase any paid subscription; and

4.if you use the Service on behalf of an organization, you have authority to bind that organization to these Terms.

2. Description of the Service

MyShell Art provides AI-powered creative tools, including image generation, image editing, image enhancement, and related product features.

The Service uses artificial intelligence and machine learning technologies. Outputs may vary, may be inaccurate, and may not always meet your expectations. You are responsible for reviewing and evaluating any output before using, sharing, or relying on it.

We may modify, suspend, discontinue, or update any part of the Service at any time.

3. Accounts and Account Security

You may need to create an account to use some features of the Service. You are responsible for:

1.maintaining the confidentiality of your login credentials;

2.all activity that occurs under your account;

3.providing accurate, current, and complete information; and

4.promptly notifying us if you suspect unauthorized access to your account.

We may suspend or terminate accounts that provide false information, violate these Terms, or create risk for the Service or other users.

4. Paid Subscriptions, Billing, and Auto-Renewal

Certain features of the Service may be offered on a paid subscription basis when enabled on the site.

If and when paid subscriptions are made available:

1.subscription plans may be offered on a monthly or annual billing cycle, as shown at checkout or on the Pricing page;

2.subscriptions will renew automatically at the end of each billing period unless cancelled before the next renewal date;

3.prices, features, and plan details may change from time to time, and any such changes will apply on a forward-looking basis as permitted by applicable law;

4.taxes, duties, or similar governmental charges may apply depending on your location and will be disclosed where required; and

5.payment processing may be handled by third-party payment service providers engaged by us.

If billing is temporarily unavailable, no payment will be charged unless a live checkout is clearly presented to you.

5. User Input and AI Output

You may submit prompts, images, text, files, settings, or other materials to the Service ("Inputs"). The Service may generate images, text, edits, transformations, or other materials in response ("Outputs").

As between you and us, and subject to your compliance with these Terms:

1.you retain any rights you may have in your Inputs; and

2.we assign to you our interest, if any, in Outputs generated specifically for you by the Service.

This assignment is subject to:

applicable law;

third-party rights;

the nature of AI-generated content;

similarities between outputs generated for different users; and

your compliance with these Terms.

You are solely responsible for the Inputs you provide, the Outputs you use, and how you use, publish, share, or commercialize any Outputs.

6. License to the Company

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, transmit, and use your Inputs and Outputs:

1.to provide, maintain, secure, and support the Service;

2.to troubleshoot, monitor, and prevent abuse;

3.to improve product performance, user experience, and model quality; and

4.to develop, train, tune, test, and improve our AI systems, models, and related services, subject to applicable law and our internal access controls.

7. Acceptable Use

You agree not to use the Service to:

1.violate any law or regulation;

2.generate, upload, or distribute content that is illegal, fraudulent, defamatory, harassing, hateful, or otherwise harmful;

3.infringe the copyright, trademark, publicity, privacy, or other rights of any third party;

4.create or distribute deceptive or non-consensual deepfakes;

5.impersonate another person or falsely suggest endorsement, affiliation, or identity;

6.upload or use content for which you do not have sufficient rights or permissions;

7.reverse engineer, decompile, or attempt to extract source code, underlying models, or system prompts except as permitted by law;

8.scrape, overload, interfere with, or disrupt the Service or its infrastructure; or

9.use the Service to build or improve a competing product in a manner that violates applicable law or these Terms.

We may remove content, suspend accounts, or restrict access where we believe there is a violation of these Terms or a risk to the Service, other users, or third parties.

8. Intellectual Property

The Service, including our software, models, workflows, interfaces, branding, and related technology, is owned by or licensed to us and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, no rights are granted to you in the Service or our intellectual property.

9. Third-Party Services

The Service may contain links to third-party websites, services, tools, or content. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by the terms and policies of those third parties.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OFFENSIVE, OR UNSUITABLE FOR YOUR INTENDED USE. YOU ARE RESPONSIBLE FOR REVIEWING ANY OUTPUT BEFORE RELYING ON IT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENSORMATRIX PTE. LTD. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1.USD 100; or

2.the total amount you paid to us for the Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold harmless TENSORMATRIX PTE. LTD. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

1.your Inputs, Outputs, or use of the Service;

2.your violation of these Terms;

3.your violation of any law or third-party rights; or

4.your misuse of the Service.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service at any time if:

1.you violate these Terms;

2.your use creates legal, operational, or reputational risk;

3.we are required to do so by law, regulation, or a service provider; or

4.we discontinue the Service or a relevant feature.

You may stop using the Service at any time.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on this page, updating the "Last Updated" date, or using other reasonable methods. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

The courts of Singapore will have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.
